1. Who we are

Nidol Inc ("Nidol", "we", "us") operates nidol.com and sells embroidered caps that are made to order in the United States. Our contact details are at the end of these terms. By placing an order or using this site you agree to these Terms of Service, our Refund Policy, Shipping Policy and Privacy Policy. If you do not agree, please do not use the site.

2. Made-to-order goods

Every item is produced after you order it. Production normally starts within one business day of payment and the production window for each item is shown on its product page. Delivery estimates are estimates, not guarantees. Because goods are made for you, an order cannot be changed or cancelled once production has started; before that point you can change or cancel it by emailing us.

3. Personalized embroidery

When you add text to a product you are responsible for what it says. We reproduce text exactly as entered, including spelling and capitalization, so please check it before ordering. Personalized and custom items are final sale except where they arrive defective or differ from your order (see the Refund Policy). We may decline to embroider names, logos, characters, slogans or artwork that we believe infringe a trademark, copyright or other right, or that we cannot reproduce well in thread; declined orders are refunded in full.

4. Your artwork

If you upload artwork, you confirm that you own it or have permission to use it, and that it does not infringe anyone's rights. You grant Nidol a non-exclusive licence to reproduce, digitize and stitch that artwork solely to fulfil your order, and to keep the resulting stitch file so we can reproduce your order later at your request. You keep ownership of your artwork. We will not sell your artwork or use it for other customers.

5. Designs by artists

The designs sold on this site are licensed to Nidol by the artists who created them and remain their property. Buying a product gives you the physical item only; it does not transfer any rights in the design, and it does not permit reproduction of the design on other goods.

6. Product representation

Colours vary between screens and fabrics. Where a product photograph is rendered from the stitch file we say so on the page; where an image is an illustration, its caption says so. Thread colours are chosen from a fixed card and named on the product page; we may substitute the closest available thread colour if one becomes unavailable, and will tell you if the difference is noticeable.

7. Prices, payment and taxes

Prices are in US dollars and exclude shipping and applicable sales tax, both of which are shown before you confirm payment. We may correct a pricing error before an order enters production; if we do, you may accept the corrected price or cancel for a full refund. Payment is processed by Shopify Payments or the payment provider you choose at checkout.

8. Shipping and risk

Shipping terms are set out in the Shipping Policy. Risk in the goods passes to you on delivery to the address you gave us.

9. Returns and refunds

Returns, remakes and refunds are governed by the Refund Policy, which forms part of these terms.

10. Using the site

You may use the site for lawful personal or business purchasing. You may not scrape, copy or republish the site's content, images or designs, interfere with its operation, or use it to infringe anyone's rights. If you create an account you are responsible for keeping your login secure and for activity under it. Product hearts and other feedback features are for genuine use only; we may remove automated or abusive activity.

11. Intellectual property

The Nidol name and mark, the site, its text, photographs, illustrations and code are owned by Nidol Inc or licensed to it. Nothing in these terms grants you any right to use them except as needed to shop on the site.

12. Warranties and liability

We warrant that goods will be made as ordered and free from defects in workmanship. To the extent permitted by law we make no other warranty, express or implied, and our total liability for any order is limited to the amount you paid for it. We are not liable for indirect or consequential losses. Nothing in these terms limits rights that cannot be limited under the law of your state.

13. Governing law

These terms are governed by the laws of the State of California and applicable federal law of the United States, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Riverside County, California, unless the law of your state requires otherwise.

14. Changes

We may update these terms; the date at the top shows the current version. Orders are governed by the terms in force when they were placed.
